General Terms of Sale

Purpose of the Contract

This contract aims to define the terms of execution and delivery of web and crypto development services provided by the provider. These terms apply to all services carried out by the provider for the client unless otherwise stated in a specific contractual document.

Obligations of the Provider and Client

The provider commits to delivering the services according to industry standards and as defined in the specifications outlined in the project brief or contract. The client, in turn, must provide the necessary information and materials for the proper execution of the services within the specified timeframe.

Confidentiality and Intellectual Property

All exchanges between the client and the provider are confidential. The intellectual property rights of the created materials remain with the provider until full payment for the service. Upon delivery and full payment, the client obtains a non-exclusive license to use the created materials for their own purposes. Any unauthorized reproduction or distribution is prohibited without prior agreement from the provider.

Warranty

The provider offers a 5-year warranty for any technical defects resulting from faulty design or execution attributable to the provider. If a technical issue arises from an incorrect configuration, such as an unsuitable file format caused by CMS misconfiguration, it will be corrected free of charge. However, if the issue is due to external factors, such as the client failing to renew the server, reinstallation fees will apply.

Payment Terms

Payment is made in three steps: 30% upon order, 30% after design validation, and 40% upon site delivery. Accepted payment methods include credit card, bank transfer, check, cryptocurrency, and cash. No refunds will be granted after project progress.

Post-Validation Modifications

Once the design and architecture are validated, any significant modification will incur additional charges. Minor adjustments (e.g., text edits, color changes, or margin adjustments) may be tolerated, but major changes, such as redesigning pages or components, will be subject to additional fees.

Responsibility

The provider is not responsible for site failures or crashes attributable to the hosting service. The provider implements security measures consistent with industry standards to protect created sites and applications but cannot be held liable for security breaches caused by the client, the hosting provider, or third-party software. The client is responsible for the content published on the site and bears any legal or other consequences arising from it.

Response and Validation

After design delivery, the client has two weeks to respond. Beyond this period, the design is considered validated by default. If the provider awaits a response regarding technical questions or decisions, a two-week period is granted; afterward, the provider may proceed with the project at their discretion.

Provision of Graphic Materials

The provider creates the site's structure and architecture, but graphic elements (logos, photos, illustrations) must be supplied by the client.

Post-Delivery Updates and Maintenance

Once the site is delivered, any requests for updates or graphic modifications will be billed according to current rates.

Hosting and Domain

The client is responsible for managing and paying hosting and domain name fees.

Suspension and Termination for Inactivity

If the client is unresponsive for three weeks, the provider reserves the right to suspend site production. For inactivity exceeding two months, the contract may be unilaterally canceled without refund of payments made.

Delays and Response Time

If a specific deadline is mentioned in the contract, it will be extended by the number of days the client takes to respond at each step. For instance, if the client takes five days to validate a design, the final delivery deadline will be extended by five days.

Contract Cancellation and Termination

If the client cancels the contract before project completion, payments made will not be refunded. The provider may also charge additional fees for services rendered up to the cancellation date.

Force Majeure

The provider cannot be held liable for delays or failures caused by unforeseen circumstances or force majeure (natural disasters, fires, system failures, etc.) preventing service delivery.
